Assistance with respect to the incorporation of a Belgian company consists of the following: Formalities and legal requirements before the set-up of the company, including:

• Providing a template of a budget forecast (in French, Dutch, English, Japanese and/or Chinese);
• Providing our Memorandum in respect of the incorporation of a public limited liability company (in English).

Formalities and legal requirements at the occasion of the setup of the company, including:

• The assistance with respect to the gathering of all the necessary information to set up a company;
• Drafting of and providing you with a detailed questionnaire (in English and Chinese);
• The assistance with respect to the drafting of the company’s articles of association (both in French and in English);
• Assistance with respect to the availability of the company’s envisaged name;
• Drafting of the company’s corporate purpose, drafting of the necessary proxies and other secretarial documents relating to the incorporation deed (both in French and in English);
• The liaison with a Belgian notary public including review of the notarial deed; and
• The attendance as proxy holder at the incorporation of the Belgian NewCo before the notary public.

Formalities after the incorporation of the company, including;

• Registration of the Belgian Company with the “Crossroads Bank of Enterprises”;
• Drafting of a register of shares of the company
• VAT number activation.
• reviewing and/or negotiating the rental agreement for your offices in Belgium, drafting and/or negotiating distributor’s agreements, etc.
